Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Network Brainiacs website, services, and any related products or communications (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Network Brainiacs is operated by Network Brainiacs LLC, with offices at 200 Valley Road, Suite 200, Mount Arlington, NJ 07856. “We,” “us,” and “our” refer to Network Brainiacs.
1. Use of the Services
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Services. You will not attempt to gain unauthorized access to any portion of the Services, probe or scan for vulnerabilities, or interfere with the operation of the Services.
2. Service Agreements
Managed IT, cybersecurity, AI, and related professional services are delivered under separate written Service Agreements (Master Service Agreements, Statements of Work, or Service Orders). Those written agreements control the specifics of the engagement — including scope, pricing, service levels, response times, data handling, and termination. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls for that engagement.
3. Accounts and Communications
When you submit a form, book a consultation, or subscribe to a newsletter, you represent that the information you provide is accurate and that you are authorized to provide it. We may use the contact information you supply to respond to you, deliver the services or content you requested, and send related operational communications. Marketing communications are sent only where permitted and always with an unsubscribe option.
4. Intellectual Property
All content on the Services — including logos, text, graphics, software, and site designs — is owned by Network Brainiacs or its licensors and is protected by applicable intellectual property laws. You may view and share content for personal, non-commercial purposes with attribution. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Services without our prior written consent.
5. Third-Party Links and Services
The Services may include links to third-party websites or services that we do not control. We are not responsible for the content, practices, or policies of those third parties. Access them at your own risk and review their terms and privacy policies before use.
6. Disclaimers
The Services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, about the operation of the Services or the information, content, or materials included, except as expressly set forth in a signed Service Agreement. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the fullest extent permitted by law, Network Brainiacs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services, whether in an action in contract, tort, or otherwise. For paid engagements, liability is governed by the signed Service Agreement.
8. Indemnification
You agree to defend, indemnify, and hold harmless Network Brainiacs and its officers, employees, and contractors from any claim or demand, including reasonable attorneys’ fees, arising out of your misuse of the Services or violation of these Terms.
9. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Morris County, New Jersey, and you consent to the exclusive jurisdiction of those courts.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Material changes will be communicated through the Services or by email where appropriate. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
